Seller Agreement

This Seller Agreement outlines the terms between Sokofa Ltd (“Sokofa”, “we”, “our”) and you (“you”, “your”, or “Seller”) who lists and sells products through sokofa.com.

By registering as a seller on Sokofa, you agree to the following terms.

1. Eligibility

To sell on Sokofa, you must:

● Be at least 18 years old or a legally registered business
● Provide valid business documentation and identification
● Comply with all local and international trade laws
● Only list items approved within Sokofa’s marketplace categories

2. Product Listings and Quality

Sellers are responsible for:

● Creating accurate product titles, descriptions, images, and pricing
● Ensuring product quality, legality, and authenticity
● Updating stock levels and availability on time
● Packaging goods in line with Sokofa’s shipping guidelines
All products must meet the platform’s quality and compliance requirements. Prohibited, counterfeit, or misleading products will be removed.

3. Pricing and Commission

● Sellers control product pricing.
● Shipping costs are calculated automatically by Sokofa’s website at checkout.
● Sellers must not add additional shipping charges.
● Sokofa charges a commission between 15 percent and 20 percent of each completed sale, depending on the seller’s plan and category.
● Commissions are deducted automatically before payouts.
● Sokofa may offer promotional placement or advertising services for an additional fee.

4. Shipping and Delivery

● Sokofa manages shipping logistics for all orders.
● Shipping options are integrated and displayed to the customer during checkout.
● Sellers must provide accurate product weight and dimensions when listing items.
These details are used to calculate shipping costs.
● If a seller provides incorrect measurements that result in increased shipping charges,
the seller will bear the additional cost.
● Sokofa provides both DHL for fast delivery and sea freight for heavier or bulk goods.
● Sellers are paid only after the order has been successfully delivered.

For artworks shipped from Nigeria, sellers must provide gallery export permission, as this is required for international shipping of original art pieces.

5. Returns, Refunds, and Disputes

● If an item is damaged, defective, or incorrect, the seller must comply with Sokofa’s return
and refund process.
● Refunds must be processed within seven business days of receiving a returned item.
● Repeated disputes, unresolved issues, or negative feedback may lead to account
suspension.

6. Content Rights

● Sellers retain ownership of their images, product names, and descriptions.
● By listing on sokofa.com, you grant Sokofa the right to use your content in marketing,
social media, email campaigns, and promotions across Sokofa and its partner platforms.
● Sokofa reserves the right to edit or remove content that does not meet its standards or misrepresents the product.

7. Compliance and Documentation

Sellers must:

● Comply with international trade rules and certifications
● Provide safety and compliance documents where required (e.g. NAFDAC for food,
CPSR for cosmetics)
● Provide gallery permission for all original artworks being shipped from Nigeria

Sellers are responsible for ensuring all items are legal to ship and export. Sokofa is not responsible for customs seizures or legal violations.

8. Account Suspension or Termination

Sokofa reserves the right to suspend or permanently remove a seller’s account if:

● Products are misrepresented or repeatedly delayed
● The seller violates these terms
● Fraudulent, abusive, or illegal activity is detected

Sellers may request to close their account at any time, provided there are no outstanding orders
or disputes.

9. Limitation of Liability

Sokofa provides the platform and manages logistics but is not liable for:

● Product issues or warranties
● Loss of earnings
● Delays due to incorrect seller inputs or customs regulations

The total liability of Sokofa will not exceed the amount of commission collected from the seller in the 30 days prior to the issue.

10. Agreement Updates

Sokofa may update these terms as needed. Changes will be communicated via email or the seller dashboard. Continued use of sokofa.com confirms your acceptance of the latest terms.
